These Terms of Service ("Terms") govern your access to and use of the Compass Engine™ platform and related services provided by HorizonX™ LLC ("HorizonX™," "we," "us," or "our"). By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. ACCEPTANCE OF TERMS

By accessing or using the Compass Engine™ platform, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. DESCRIPTION OF SERVICES

Compass Engine™ is an AI-assisted operational assessment platform that generates strategic reports and recommendations based on information you provide through intake forms. Our Services include:

  • Lightning Audit — rapid process assessment
  • AI Systems Roadmap — strategic AI transformation planning
  • Automation Blueprint — workflow architecture and automation design
  • Compass QuickStart — SOP development and immediate automation actions

All outputs generated by Compass Engine™ are AI-assisted operational assessments based solely on the intake information you provide. Results are directional in nature and will vary based on implementation quality, organizational factors, and market conditions.

By using the Services, you acknowledge that Compass Engine™ generates AI-assisted outputs and that all recommendations, projections, estimates, and assessments require independent business review before implementation.

3. ACCOUNTS AND REGISTRATION

3.1 Account Creation

You must create an account to access the platform. You agree to provide accurate, current, and complete information during registration and to update your information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@horizonxllc.com if you suspect unauthorized access to your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we determine to be harmful to the platform or other users.

4. SUBSCRIPTIONS AND PAYMENT

4.1 Subscription Plans

Access to Compass Engine™ requires a paid subscription. Current pricing is available on our website. We reserve the right to change pricing with 30 days advance notice to active subscribers.

4.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually as selected). Payment is processed by Stripe. By providing payment information, you authorize HorizonX™ to charge your payment method for the applicable subscription fees.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except as required by applicable law.

4.4 Failed Payments

If a payment fails, we will notify you and may suspend access to the platform until payment is resolved. We reserve the right to terminate accounts with persistent failed payments.

5. ACCEPTABLE USE

You agree to use Compass Engine™ only for lawful business purposes. You agree not to:

  • Use the platform for any illegal purpose or in violation of any applicable law
  • Attempt to reverse engineer, decompile, or extract the underlying AI models or platform architecture
  • Share your account credentials with unauthorized users
  • Use automated tools to scrape, crawl, or systematically extract data from the platform
  • Submit false, misleading, or fraudulent intake information
  • Attempt to interfere with or disrupt the platform's infrastructure or security
  • Reproduce, resell, or redistribute platform outputs as your own proprietary methodology without attribution

6. INTELLECTUAL PROPERTY

6.1 Platform Ownership

The Compass Engine™ platform, including its design, code, frameworks, and underlying methodology, is the exclusive intellectual property of HorizonX™ LLC. Nothing in these Terms grants you any ownership interest in the platform.

6.2 Your Reports

The operational assessment reports generated for you through Compass Engine™ are provided for your internal business use. You may share reports with your clients, advisors, and stakeholders. You may not resell reports as standalone products or represent them as your own original consulting work product without written authorization from HorizonX™.

6.3 Your Intake Data

You retain ownership of the intake information you provide. By submitting intake data, you grant HorizonX™ a limited license to use that data to generate your reports and to improve platform performance.

7. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HORIZONX DOES NOT WARRANT THAT:

  • THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE
  • THE REPORTS GENERATED WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE
  • ANY RECOMMENDATIONS WILL PRODUCE SPECIFIC RESULTS

ALL QUANTIFIED ESTIMATES, PROJECTIONS, AND RECOMMENDATIONS IN PLATFORM OUTPUTS ARE DIRECTIONAL ASSESSMENTS BASED ON INTAKE DATA PROVIDED. THEY DO NOT CONSTITUTE LEGAL, FINANCIAL, REGULATORY, OR ACCOUNTING ADVICE AND SHOULD NOT BE RELIED UPON AS GUARANTEES OF OUTCOMES.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORIZONX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF HORIZONX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO HORIZONX IN THE 12 MONTHS PRECEDING THE CLAIM.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HorizonX™ LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Tarrant County, Texas, and you consent to personal jurisdiction in those courts.

11. CHANGES TO TERMS

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a new effective date and, where appropriate, by sending an email notification. Your continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

12. SEVERABILITY

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

13. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HorizonX™ LLC regarding your use of the Services and supersede all prior agreements and understandings.
